Terms of Use
1. Acceptance of Terms
By accessing or using CityOfCalgary.com (“the Site”), you agree to be bound by these Terms of Use (“Terms”). If you do not agree to these Terms, you must not access or use the Site.
The Site is owned and operated by McLeod Capital Corp. (“we,” “us,” “our”), an Alberta corporation. These Terms constitute a legally binding agreement between you and McLeod Capital Corp.
Important: CityOfCalgary.com is an independent, privately-operated community information platform. We are not affiliated with, endorsed by, or operated by the City of Calgary municipal government.
2. Eligibility
You must be at least 18 years of age to create an account, claim a business listing, submit forms, or subscribe to any paid service on the Site. By using these features, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement.
General browsing of publicly available content on the Site is available to individuals of all ages.
3. Description of Services
The Site provides the following services:
- Community Profiles — Neighbourhood data pages displaying publicly available information about Calgary communities, including property assessments, demographics, building permits, and community statistics.
- Business Directory — A searchable directory of Calgary businesses derived from publicly available City of Calgary business licence data, with options for business owners to claim and enhance their listings.
- Traffic Dashboard — Real-time traffic incident and construction information aggregated from public data sources.
- News Aggregation — Local news articles sourced from publicly available RSS feeds.
- Blog — Editorial content written by our team about Calgary communities, data, and trends.
- Email Subscriptions — Optional blog and newsletter subscriptions delivered via email.
4. Accounts
4.1 Registration
To access certain features (such as claiming a business listing), you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Keep your password confidential and not share it with any third party
- Accept responsibility for all activity that occurs under your account
4.2 Account Security
You are solely responsible for maintaining the security of your account credentials. You must notify us immediately at privacy@cityofcalgary.com if you believe your account has been compromised.
4.3 Account Termination
We reserve the right to suspend or terminate your account at any time, for any reason, at our sole discretion, with or without notice. Grounds for termination include but are not limited to:
- Violation of these Terms
- Fraudulent, abusive, or unlawful activity
- Providing false or misleading information
- Non-payment of fees
- Extended period of inactivity
Upon termination, your right to access the Site and its services ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to: intellectual property provisions, disclaimers, limitations of liability, indemnification, and dispute resolution.
5. Business Listing Services
5.1 Unclaimed Listings
The Site displays business listings derived from publicly available City of Calgary business licence data published under the Open Government Licence — City of Calgary. These listings are created automatically and do not require the consent of the business owner. Unclaimed listings display only information sourced from public records.
5.2 Claiming a Listing
Business owners may claim their listing by verifying their identity and relationship to the business. By claiming a listing, you represent and warrant that:
- You are the owner or an authorized representative of the business
- The information you provide is accurate and not misleading
- You have the authority to bind the business to these Terms
5.3 Featured Listings
Business owners may upgrade their listing to “Featured” status through a paid subscription. Featured listings receive enhanced visibility, additional profile features, and priority placement as described on the Site at the time of purchase.
5.4 Content Removal and Modification
We reserve the right to remove, modify, demote, or restrict any business listing at any time, for any reason, at our sole discretion, without notice or liability. This includes but is not limited to listings that:
- Contain inaccurate or misleading information
- Are associated with a revoked or expired business licence
- Violate these Terms or applicable law
- Are the subject of complaints, disputes, or legal proceedings
- We determine in our sole judgment to be inappropriate
No refund, credit, or compensation is owed in connection with any such action.
6. Payment Terms
6.1 Featured Subscription Fees
Featured listing subscriptions are billed on a recurring basis (monthly or annual, as selected at the time of purchase). All prices are stated in Canadian dollars (CAD) and are subject to applicable taxes.
6.2 Payment Processing
Payments are processed by Stripe, Inc. By subscribing, you agree to Stripe’s terms of service. We do not store your credit card information.
6.3 No Refunds
All subscription fees are non-refundable. You may cancel your subscription at any time, but no refund or prorated credit will be issued for the remainder of the current billing period. Upon cancellation, your listing will be downgraded to “Claimed” status at the end of the current billing cycle.
6.4 Price Changes
We may change subscription pricing at any time. Existing subscribers will be given at least 30 days’ written notice before any price increase takes effect. You may cancel before the new price takes effect if you do not accept the change.
6.5 Failed Payments
If a payment fails, we may retry the charge, suspend your Featured status, or downgrade your listing. We are not liable for any loss of visibility or traffic resulting from payment failure.
7. User Content
7.1 Your Content
“User Content” means any information, text, images, photographs, logos, videos, reviews, comments, or other materials you submit, post, or display on or through the Site, including business listing information.
7.2 Ownership
You retain all ownership rights in your User Content. By submitting User Content to the Site, you grant McLeod Capital Corp. a non-exclusive, royalty-free, worldwide, transferable, sublicensable licence to use, display, reproduce, modify (for formatting purposes only), and distribute your User Content solely in connection with operating and promoting the Site and its services. This licence continues for the duration of your account and terminates upon deletion of the applicable content or closure of your account, except as required for reasonable backup and archival purposes (not to exceed 30 days post-deletion).
7.3 Content Representations
By submitting User Content, you represent and warrant that:
- You own the content or have all necessary rights and permissions to submit it
- The content does not infringe the intellectual property rights of any third party
- The content is not false, misleading, defamatory, obscene, or unlawful
- The content does not violate any person’s privacy rights
- You have obtained all necessary consents from individuals depicted in photographs
7.4 Reviews and Comments
The Site may permit users to post reviews, ratings, or comments about businesses. If you submit a review or comment:
- It must reflect your genuine, honest experience or opinion
- It must not be incentivized, paid for, or submitted on behalf of a competitor
- It must not contain personal attacks, threats, hate speech, or illegal content
- We reserve the right to remove any review or comment at our sole discretion
We do not endorse, verify, or assume responsibility for any user-submitted reviews or comments. Business owners acknowledge that claiming a listing may result in receiving public reviews that they cannot control or remove.
7.5 No Obligation
We have no obligation to publish, display, or maintain any User Content. We are not responsible for any loss or damage resulting from the removal of User Content.
8. Intellectual Property
8.1 Our Content
All content on the Site not submitted by users — including but not limited to text, design, graphics, logos, page layout, software, editorial content, blog posts, neighbourhood profiles, data visualizations, and the Site’s overall look and feel — is the property of McLeod Capital Corp. or its licensors and is protected by Canadian copyright and intellectual property laws.
You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any of our content without our prior written consent.
8.2 Open Government Data
Portions of the Site incorporate data licensed under the Open Government Licence — City of Calgary (Version 2.1). This data is used in compliance with the terms of that licence. The Open Government Licence does not grant you any rights to our original compilation, analysis, presentation, or editorial commentary built upon that data.
8.3 Trademarks
“CityOfCalgary.com,” the Site’s logos, and related marks are trademarks or trade names of McLeod Capital Corp. You may not use our trademarks without prior written permission. Nothing on the Site grants any licence or right to use any trademark displayed on the Site.
The name “City of Calgary” is used solely for geographic reference and does not imply any affiliation with or endorsement by the City of Calgary municipal government.
9. Acceptable Use
You agree not to use the Site to:
- Violate any applicable local, provincial, federal, or international law or regulation
- Infringe upon the intellectual property, privacy, or other rights of any third party
- Submit false, misleading, or fraudulent information (including fraudulent listing claims)
- Impersonate any person or entity, or falsely represent your affiliation with a person or entity
- Scrape, crawl, or use automated means to access the Site or extract data beyond what is permitted by our robots.txt file, without our written consent
- Interfere with or disrupt the Site’s infrastructure, security, or performance
- Introduce malware, viruses, or any other harmful code
- Attempt to gain unauthorized access to other users’ accounts or our systems
- Use the Site to send spam, unsolicited communications, or commercial messages
- Manipulate search results, engagement metrics, or listing rankings
- Submit fake reviews, ratings, or comments
- Harvest or collect personal information of other users without their consent
- Use the Site in any manner that could damage, disable, or overburden our servers
We reserve the right to investigate and take appropriate action against anyone who violates this section, including removing content, suspending accounts, and reporting to law enforcement.
10. Data Accuracy Disclaimer
10.1 Open Data
The community profiles, business listings (unclaimed), property assessments, traffic data, building permits, and other public data displayed on the Site are sourced from the City of Calgary’s open data portal and other public sources. This data:
- May contain errors, omissions, or inaccuracies
- May not be current or up to date
- Is provided “as is” without any guarantee of accuracy, completeness, or reliability
- Should not be relied upon as the sole basis for any financial, legal, or business decision
10.2 News Content
News articles displayed on the Site are aggregated from third-party RSS feeds. We do not author, edit, or verify third-party news content. All news articles remain the property of their respective publishers.
10.3 Business Listings
We do not verify, endorse, or guarantee the accuracy of information in business listings, whether claimed or unclaimed. The presence of a listing on the Site does not constitute a recommendation or endorsement of that business.
11. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ALL CONTENT, SERVICES, AND FEATURES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
We expressly disclaim all warranties, including but not limited to:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
- Warranties that the Site will be uninterrupted, error-free, secure, or free of viruses or harmful components
- Warranties regarding the accuracy, reliability, or completeness of any content
- Warranties regarding the results that may be obtained from use of the Site
Your use of the Site is at your sole risk.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- McLeod Capital Corp., its directors, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, revenue, data, goodwill, business opportunity, or anticipated savings, regardless of the cause of action or the theory of liability (whether in contract, tort, negligence, strict liability, or otherwise), even if we have been advised of the possibility of such damages.
- Our total aggregate liability arising out of or in connection with these Terms or your use of the Site shall not exceed the total amount of fees paid by you to McLeod Capital Corp. in the twelve (12) months immediately preceding the event giving rise to the claim. If you have not paid us any fees, our maximum liability shall be one hundred Canadian dollars ($100 CAD).
- We are not liable for any loss or damage arising from:
- Your reliance on any data, content, or information displayed on the Site
- Any action taken or not taken by a business listed on the Site
- Unauthorized access to or alteration of your account or data
- Interruption or cessation of Site services
- Third-party conduct, content, or services accessed through the Site
13. Indemnification
You agree to indemnify, defend, and hold harmless McLeod Capital Corp., its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of the Site or violation of these Terms
- Your User Content, including any claims that it infringes third-party rights
- Your violation of any applicable law or regulation
- Your business operations, products, or services (if you are a listed business owner)
- Any dispute between you and a third party relating to the Site
This indemnification obligation shall survive termination of your account and these Terms.
14. Class Action Waiver
YOU AND McLEOD CAPITAL CORP. AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
You expressly waive any right to participate in a class action lawsuit or class-wide arbitration against McLeod Capital Corp. If this waiver is found to be unenforceable, then the entirety of this section shall be null and void with respect to that specific claim.
15. Dispute Resolution and Governing Law
15.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles.
15.2 Jurisdiction
You irrevocably submit to the exclusive jurisdiction of the courts of the Province of Alberta, sitting in the City of Calgary, for the resolution of any dispute arising out of or in connection with these Terms or your use of the Site.
15.3 Limitation Period
Any claim arising out of or related to these Terms or the Site must be commenced within two (2) years after the cause of action accrues, or it is permanently barred. This is consistent with Alberta’s Limitations Act, R.S.A. 2000, c. L-12.
16. Changes to These Terms
We may modify these Terms at any time. When we make material changes, we will:
- Post the revised Terms on the Site with an updated “Last Updated” date
- Provide at least 30 days’ notice before material changes take effect (via a notice on the Site or email to registered users)
Minor changes (corrections, clarifications, formatting) may take effect immediately upon posting.
Your continued use of the Site after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Site and close your account.
17. Third-Party Links and Services
The Site contains links to third-party websites, including business websites, news sources, and service providers. These links are provided for convenience only. We do not control, endorse, or assume responsibility for the content, privacy practices, or availability of any third-party websites. Your interactions with third-party websites are solely between you and that third party.
18. Availability and Modification of Services
We reserve the right to modify, suspend, or discontinue any part of the Site or its services at any time, with or without notice, for any reason. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Site or its services.
19. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
20. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and McLeod Capital Corp. regarding your use of the Site. These Terms supersede all prior agreements, communications, and understandings, whether oral or written, regarding the subject matter hereof.
21. Waiver
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by McLeod Capital Corp. to be effective.
22. Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
